By accessing, browsing, or using the Visionary Media Productions website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services or website.

Visionary Media Productions offers a comprehensive suite of professional media and marketing services, including but not limited to:

• Video Production
• Photography
• Documentary Filmmaking
• Corporate Media Content
• Promotional Videos
• Commercial Content Creation
• Digital Media Consulting
• Content Strategy and Development

Specific deliverables, timelines, and costs for individual projects will be outlined in a separate Statement of Work (SOW) or Project Agreement. In the event of a conflict between these general Terms & Conditions and a specific Project Agreement, the terms of the Project Agreement shall prevail for that specific engagement.

Unless otherwise explicitly agreed upon in writing, Visionary Media Productions retains all original copyrights to the materials produced. Upon full payment, clients are granted a perpetual, non-exclusive license to use the final deliverables. This includes:

• Videos
• Photography
• Graphics
• Logos
• Branding
• Written Content
• Audio Content
• Design Elements

Clients must ensure they have the necessary rights, licenses, and permissions for any materials (logos, images, music, text) provided to Visionary Media Productions for inclusion in their projects. The client agrees to indemnify and hold harmless Visionary Media Productions against any claims arising from the use of client-provided materials.

Visionary Media Productions reserves the right to use completed projects, behind-the-scenes footage, and draft materials for our own promotional purposes, including our website portfolio, social media channels, and marketing materials, unless a Non-Disclosure Agreement (NDA) specifically prohibiting such use is signed prior to project commencement.

Standard payment terms require a non-refundable deposit (typically 50%) prior to the commencement of any work, with the remaining balance due upon project completion and prior to the delivery of final unwatermarked files. Late payments may incur a fee of 1.5% per month on the outstanding balance.

Project agreements include a specified number of revision rounds. Additional revisions or changes to the project scope outside the original agreement will be billed at our standard hourly rate. All scope changes must be approved in writing by both parties.

In the event of project cancellation by the client, the initial deposit is non-refundable. If cancellation occurs after work has commenced, the client is responsible for payment for all work completed up to the date of written cancellation notice, which may exceed the initial deposit amount.

You may not use our website for any unlawful purpose, to solicit others to perform unlawful acts, to violate any international, federal, or state regulations, or to infringe upon our intellectual property rights or the intellectual property rights of others.

Our website may contain links to third-party websites or services that are not owned or controlled by Visionary Media Productions. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Our services and website are provided on an "as is" and "as available" basis. Visionary Media Productions makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

In no event shall Visionary Media Productions, its directors, employees, or agents be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

You agree to defend, indemnify and hold harmless Visionary Media Productions and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses resulting from your use and access of the Service.

These Terms shall be governed and construed in accordance with the laws of the State of Florida, specifically Broward County, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Broward County, Florida.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
